1. INTRODUCTION
These Terms of Trade ("Terms") govern your access to and use of our website (the "Website"), as well as any inquiries, orders, or transactions conducted through or in relation to the Website. By accessing or using our Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website.
These Terms should be read alongside any specific sale or purchase contract entered into between Maytac and a buyer. In the event of any conflict between these Terms and a specific contract, the specific contract shall prevail.
2. ABOUT MAYTAC INTERNATIONAL PARTNERS LTD
Maytac International Partners Ltd is an agribusiness company engaged in the marketing and export of Kenyan coffee. We are committed to delivering consistently high-quality specialty-grade coffees from Kenya's leading cooperatives and production regions.
We operate in compliance with the regulatory framework established by the Agriculture and Food Authority (AFA) - Coffee Directorate, the Nairobi Coffee Exchange (NCE), and all applicable Kenyan laws governing coffee marketing and export.
3. PRODUCTS AND QUALITY
3.1 Coffee Offerings
We market and export Kenyan coffee of various grades, including specialty-grade Arabica coffees from renowned growing regions across Kenya.
3.2 Quality Standards
All coffee offered for sale through our Website is subject to quality analysis and inspection by the relevant regulatory authorities in accordance with Kenyan law. Detailed specifications, including grade, screen size, moisture content, and cupping scores, will be provided in the respective product descriptions and sale contracts.
3.3 Samples
Upon request, samples of coffee may be provided to prospective buyers for quality assessment. Sample requests are subject to availability and may be subject to applicable charges.
4. ORDERS AND CONTRACTS
4.1 Inquiries and Quotations
All inquiries submitted through our Website or via direct communication constitute expressions of interest and do not create a binding contract. Formal quotations provided by Maytac are valid for the period stated therein and are subject to availability of the specified coffee.
4.2 Contract Formation
A binding contract for the sale of coffee is formed only when:

The buyer and Maytac have agreed in writing on the key terms (including grade, quantity, price, shipment, and payment terms);

A direct sales contract is executed in the format prescribed by the Agriculture and Food Authority; and
-
The contract is lodged with the Authority for registration and approval, where required by law.
4.3 Regulatory Compliance
All coffee exports are subject to the regulatory requirements of the Agriculture and Food Authority - Coffee Directorate, including but not limited to:

Quality analysis and inspection;

Issuance of inspection certificates;

Export clearance;
-
ICO certificates; and
-
KEPHIS certification.
Maytac shall assist with obtaining all necessary clearances and certifications. The buyer shall cooperate fully in providing any information or documentation required for these purposes.
5. PRICING AND PAYMENT
5.1 Pricing
All prices are quoted in United States Dollars (USD) unless otherwise stated. Prices are based on the applicable Incoterms® agreed in the contract (e.g., FOB Mombasa, CIF, or C&F).
Prices are subject to change without notice prior to the formation of a binding contract. Once a contract is executed, the price is fixed as stated in the contract.
5.2 Payment Terms
Payment terms shall be as specified in each sale contract. Common payment arrangements include:

Telegraphic Transfer (T/T): Typically requiring a deposit (e.g., 30% upon contract execution) with the balance paid prior to shipment or upon presentation of shipping documents;

Letter of Credit (L/C): Irrevocable, confirmed, and transferable Letters of Credit at sight, subject to agreement; or
-
Such other terms as may be agreed in writing between the parties.
5.3 Full Payment Before Shipment
In accordance with Kenyan coffee export regulations, the overseas buyer shall remit full payment before shipment is undertaken. Maytac reserves the right to withhold shipment until full payment has been received and cleared.
5.4 Bank Charges
Bank charges incurred in Kenya are typically for the account of the seller, while charges incurred outside Kenya are for the account of the buyer, unless otherwise agreed.
6. SHIPMENT AND DELIVERY
6.1 Incoterms
Shipment terms shall be specified in the sale contract and shall be governed by the Incoterms® 2020 rules or such other applicable trade terms as agreed between the parties.
6.2 Shipping and Logistics
Maytac shall appoint agents for purposes of logistics and other processing requirements related to coffee exports, where applicable. We work with reputable shipping lines and freight forwarders to ensure timely and secure delivery.
6.3 Insurance
Insurance coverage shall be as specified in the sale contract. Where CIF terms apply, insurance shall be arranged by Maytac. Where FOB terms apply, insurance shall be the responsibility of the buyer.
6.4 Shipment Weight
Coffee is typically traded in 60kg bags. Shipment weights and quantities shall be as specified in the contract, subject to customary industry tolerances.
7. TITLE AND RISK
Title to and risk of loss or damage to the coffee shall pass from Maytac to the buyer in accordance with the Incoterms® specified in the sale contract. In the absence of a specified Incoterm, title and risk shall pass upon delivery of the goods to the carrier at the port of shipment.
8. INSPECTION AND ACCEPTANCE
8.1 Pre-Shipment Inspection
All coffee consignments are subject to inspection by the Agriculture and Food Authority - Coffee Directorate prior to export to ascertain quality, quantity, and value.
8.2 Buyer's Inspection
Buyers may, at their own expense, arrange for independent inspection of the coffee prior to shipment, subject to reasonable notice and coordination with Maytac.
8.3 Claims
Any claims regarding quality, quantity, or condition of the coffee must be submitted in writing within the timeframes specified in the sale contract. Claims shall be supported by appropriate evidence, including surveyor's reports and samples where applicable.
9. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performing its obligations under any contract to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, strikes, lockouts, governmental actions, export or import restrictions, embargoes, fire, flood, drought, epidemic, pandemic, or failure of carriers or suppliers.
The party affected by a force majeure event shall promptly notify the other party and shall take all reasonable steps to mitigate the effects of the event. If the force majeure event continues for more than sixty (60) days, either party may terminate the affected contract without liability.
10. GOVERNING LAW AND DISPUTE RESOLUTION
10.1 Governing Law
These Terms and all contracts entered into through or in connection with this Website shall be governed by and construed in accordance with the laws of the Republic of Kenya.
10.2 Dispute Resolution
Any dispute arising out of or in connection with these Terms or any contract for the sale of coffee shall be resolved as follows:

Negotiation: The parties shall first attempt to resolve the dispute amicably through good faith negotiations.

Mediation: If the dispute cannot be resolved through negotiation, the parties shall refer the matter to mediation in accordance with Kenyan law.

Arbitration: If mediation is unsuccessful, the dispute shall be referred to arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya or such other arbitration rules as may be agreed by the parties.

Jurisdiction: Each party agrees to submit to the exclusive jurisdiction of the courts of Kenya for any dispute that cannot be resolved through the foregoing mechanisms.

11.1 Ownership and Use of Content
All content on this Website, including text, images, graphics, logos, and software, is owned or licensed by Maytac International Partners Ltd and is protected by copyright and other intellectual property laws. You may not copy, reproduce, modify, or distribute any content from our Website without our prior written consent.
11.2 User Conduct
